Regulations for Use of the Biopet International Website
A. General
1. Welcome to the international website of Biopet Ltd. (hereinafter – the “Website” and “Biopet,” respectively).
2. These Regulations, together with the “Website Privacy Policy” document attached thereto, regulate the terms of use of the Website (these Regulations, the Website Privacy Policy, and all attachments to them will be call hereinafter, together and separately, the “Regulations” or the “Terms of Use”).
3. Viewing and use of the Website is subject to all the provisions of the Regulations and the law. The surfer/user of the Website (hereinafter – the “User”) confirms that he has read all the provisions of the Regulations (and their attachments), and he agrees thereto and undertakes to comply with everything stated therein.
4. It is clarified that the Terms of Use apply to any viewing and/or use of the Website, whether on a computer or on another communications device (such as a cellphone, handheld computer of any kind, etc.), whether via the Internet or through any other network or means of communication.
5. Biopet may from time to time, at its sole discretion, change the provisions of the Regulations and/or the Website Privacy Policy document and/or any other document that may replace or supplement them to regulate the terms of use of the Website. Users are requested to visit this page from time to time in order to read the updated Terms of Use.
6. That which is stated in the Terms of Use is written in masculine form solely for the sake of convenience, and everything stated in it is intended for women and men alike. In addition, everything written in the singular should be read as if it is also in the plural, as applicable, and vice versa.
7. The headings in these Regulations are not binding or exhaustive. and are solely for the convenience of Users.
8. Wherever in the Regulations there is reference to “Biopet” or “the Company,” the intention is to include the operators and managers of the Website and those acting on its behalf.
9. It is clarified that even if it is determined in the future by a competent authority that any of these Terms of Use is unenforceable or illegal, the other terms will continue to apply in full.
B. Changes to the Website and restriction / termination of service
10. It is clarified that Biopet may, at its sole discretion, at any time and without the need to give prior notice:
10.1 Block and/or restrict the viewing and/or use of the Website and/or any part thereof in any way it so chooses, including making viewing and/or use as stated conditional on a certain advance registration procedure (that includes, for example, providing identifying details of the User) and/or a subscription and/or any other condition and/or procedure as it sees fit.
Insofar as there is a registration procedure in which a username and/or password is given for the purpose of using the Website, the User must keep them confidential in order to prevent their misuse, and change the password as often as possible.
10.2 Prevent any of the Users from registering on the Website (if required) and/or using the Website and/or the services provided in its framework and/or in any part thereof and/or restricting them.
10.3 Stop operation of the Website and/or any part thereof (whether temporarily or permanently).
10.4 Make changes and/or modifications and/or updates to the content of the Website and/or its design, and to delete the content of the Website and/or any part thereof.
It is clarified that the aforesaid is in addition to any right granted to Biopet under these Regulations and/or by virtue of the law.
C. Website content
11. The Website contains information and provides services related to Biopet’s products and activities, and general information regarding pets, all at the sole discretion of Biopet.
It is emphasized that all the information and data appearing on the Website are general, and are included for the convenience and enrichment of the Users only. Such information is not tailored to a specific User and does not in any way constitute a recommendation regarding a particular case and/or a substitute for the advice of professionals.
12. Biopet does not bear any responsibility for and/or in connection with the content of the Website and/or its use and the actions taken in
connection thereof. Biopet does not make any representations regarding the correctness of the Website content and is not responsible for the correctness and/or accuracy and/or current nature of any information and/or data and/or recommendation and/or suggestion contained therein.
13. Biopet will be entitled to operate and/or allow the inclusion of “surfer content” on the Website, as defined in Section 16 below, and also allow the inclusion of publications and/or offers by third parties, and links to other websites. Without derogating from the provisions of Section 12 above, it is clarified that Biopet does not bear any responsibility in respect whereof.
14. Without derogating from the provisions of these Regulations, it is clarified that the Website may include estimated information and/or future projections, and so forth, and that any such information is uncertain and depends on a large number of factors. Therefore, this information should not be relied upon, and Biopet does not make any representation and/or bear any responsibility in respect whereof.
In addition, the Website may include various financial content and data about Biopet, its business, etc. However, it is clarified and emphasized that this content may not be current and/or accurate, and therefore should not be relied upon, and Biopet does not make any representation and/or bear any responsibility in respect whereof.
15. Please note that the Website, including its articles and reports, may contain information of an advertising nature.
D. Surfer content
16. Biopet may, at its sole discretion, operate various communications channels in which Users will be allowed to express an opinion and/or respond and/or answer questions and surveys and/or present questions and/or upload and/or publish information, and to participate in any way in the content of the Website (such as in chats, blogs, forums, etc.) (hereinafter – “Surfer Content”).
It is clarified that Biopet is not obligated to publish Surfer Content on the Website (whether in general or specific content), and that its publication will be at Biopet’s sole discretion, including the manner in which it is presented, its position, the length of time it will be displayed, etc.
17. To the extent that Surfer Content is included on the Website, Biopet may, at its sole discretion, disqualify and/or remove and/or change
the Surfer Content or any part thereof (whether before or after publication).
18. It is clarified that Biopet is not responsible for that which is contained in the Surfer Content (including its authenticity, reliability, current relevance, etc.) and that that the Surfer Content does not express Biopet’s position. It is also clarified that publication of Surfer Content on the Website and/or its non-publication and/or its removal from the Website does not impose on Biopet any liability in respect whereof.
19. A User who uploads or publishes his own Surfer Content on the Website in any way (including via email, etc.) declares that he owns the full rights thereto, its content and all its attachments (including images, photos, illustrations, etc.), or that he has legal authorization from the owner of the rights to make any use thereof and confer any right thereto, and that publication of the Surfer Content by him and/or the use thereof does not breach and/or infringe intellectual property rights or any other rights of any third party. Said User waives any right he has in the Surfer Content that has been uploaded / transferred by him and agrees that Biopet may make use of such content and of any idea and/or knowledge and/or information contained therein and/or derived therefrom, in any way it chooses and for any purpose, and may copy, distribute and publish it by any means and in any way it chooses (whether in Israel or abroad), whether itself or by authorizing others, all without time limit and without consideration.
20. Biopet will be entitled to retain and make use of any information it requires and provided to it by Users in a manner consistent with its privacy policy. Any other information given to Biopet or uploaded to the Website (not at Biopet’s request) will be considered to be non-confidential and Biopet will be entitled to publish or use it in any other form (see Section 19 above).
21. Biopet takes data protection measures to secure the information contained on the Website and/or which has been transmitted within its framework, but notwithstanding the aforesaid, there may be failures in the security of the above information (such as interception, unauthorized access, etc.). Biopet does not undertake absolute security of the information contained on the Website and/or information provided by Users as part of and/or for the purpose of its use (such as information contained in Surfer Content, User details provided as part of the registration process for the Website, if any, etc.).
When a User uploads Surfer Content to the Website and/or provides any information or data in connection with use of the Website, he confirms that he is aware of the above and that he will not have any claim and/or demand towards Biopet in respect of the aforesaid.
22. The User undertakes not to publish and/or upload and/or display on the Website, in any way and in any framework whatsoever, any information and/or position and/or software and/or any content (including image, photograph, illustration, etc.) that is false and/or offensive and/or misleading and/or constitutes harm to public sentiment or beliefs and/or where its publication may constitute defamation and/or where it or its publication is unlawful and/or encourages acting illegally and/or which is not fit for publication for any reason whatsoever (such as content of a sexual nature, racist content, incitement, threats, etc.), and also not to upload advertisements that are not for Biopet. Without derogating from the above, the User undertakes not to upload to the Website any information and/or software and/or content whose publication by him constitutes an infringement of copyrights or any other third party rights (including the right to privacy). The Users bear the sole responsibility for the content uploaded by them and/or on their behalf to the Website.
23. To preclude doubt, it is clarified that the Users may not make use of the Surfer Content published on the Website, even if they view it, unless Biopet has given advance, written consent.
E. Links and publications on the Website
24. The Site may contain links to other websites on the Internet for the convenience of Users. It is clarified that Biopet does not control or monitor the content of the above websites and/or the use of those websites (including their terms of use and privacy policy) and therefore does not bear any responsibility in connection with the content and/or use of the above websites. The fact that the Website provides links to this content does not indicate Biopet’s agreement with their content and does not constitute a guarantee with regard to their reliability, current relevance, legality, their privacy protection procedures, and/or any other aspect in connection with the aforesaid, and does not impose any liability on Biopet in respect whereof.
In addition, Biopet does not guarantee that the links found on the Website will be correct and will lead to an active website.
Biopet may remove previously included links from the Website, add new links, or refrain from adding such links, at its sole discretion.
25. The Website may contain publications and/or offers from third parties. It is clarified that Biopet is not responsible for these publications and/or offers, and the sole responsibility for them (including for misleading, harmful advertising, etc.) lies with the publishers or those making the offers themselves.
F. Links to the Website
26. The Website may not be linked to any website that contains content that offends public sentiment and/or beliefs and/or where they or their publication are illegal or encourage illegal activity (such as pornographic content, content that encourages racism or discrimination, content that constitutes defamation, content that contains threats, etc.).
27. Links may not be made to content from the Website that is not the home page of the Website (“deep link”) and said content may not be displayed or published in any other way, unless the deep link is to a web page on the Website in full and as is, so that it can be viewed and used in the identical manner to use and viewing on the Website. In this connection, it is prohibited to link to content from the Website in isolation from the web pages on which it appears on the Website (for example – it is prohibited to link directly to an image or graphic file on the Website, but rather to the full page where it appears). In addition, the exact address of the web page on the Website must appear in the usual place designated for this in the user interface. This address may not be changed, distorted or hidden, and may not be replaced with any other address.
28. The User agrees that Biopet may instruct him to remove any link to the Website at its sole discretion.
G. Use of the Website
29. The Website may not be used for commercial purposes unless prior written approval has been obtained from Biopet.
30. The Website may not be used for illegal purposes (including in the framework of uploading Surfer Content in a manner contrary to the provisions of these Regulations).
31. Do not copy and/or reproduce and/or transfer to another and/or broadcast and/or publish the contents of the Website and/or any part
thereof. Do not use the contents of the Website and/or allow others to use them, other than for the purpose for which they were published.
32. The Website and/or its contents and/or any part thereof may not be displayed in any way, including through any software, device, accessory, or communications protocol that changes the design of the Website and/or its contents and/or removes anything from them (including advertisements and commercial content).
33. The Website and/or its contents and/or any part thereof (including the name of the Website and/or its URL) may not be displayed in the framework of another website (including displaying content within a frame).
34. No computer application or any other device (including software such as crawlers, robots, etc.) may be activated or allowed to be used for the purpose of searching, scanning, copying or automatically retrieving content from the Website. This includes not creating or using said means for creating a compilation, collection or repository containing content from the Website.
35. Surfer Content may not be uploaded to the Website and/or linked to the Website in contravention of the provisions of these Regulations.
36. Do not harm in any way the use of other Users of the Website (including for the purpose of uploading Surfer Content).
37. Do not harm and/or interfere with use of the Website and/or the information published on the Website and/or its servers (such as by interception).
38. Do not attempt to bypass and/or compromise any security software on the Website.
39. Do not use the Website and/or any part thereof for the purpose of hacking into any computer systems (including those of the Website itself) and/or scan ports and/or spread computer viruses or any other harmful software and/or distribute chain letters and/or make any use of the Website whose main purpose is to overload the computer systems of the Website and/or to prevent or impair use of the Website and/or any other website and/or any other use that harms the Website and/or its Users and/or any third parties.
40. The User, in so doing, agrees to the provisions of this section above and undertakes to act in accordance thereof and with all the provisions of the Regulations, and in accordance with any law. It is clarified that Biopet may immediately prevent a User who has infringed any of the provisions of these Regulations from using the
Website, and take against it any remedy conferred on it by law (including providing relevant information to the competent authorities).
H. Privacy Policy
41. Biopet understands the importance of the privacy of visitors to the Website, and respects their privacy when using the Website. Biopet’s privacy policy with respect to the Website is set out in the Website Privacy Policy appendix attached to these Regulations, and appearing on the Website (hereinafter – the “Privacy Policy”), and forms an integral part of these Regulations. By using the Website, the User also agrees to the content of the Privacy Policy (changes to the Privacy Policy must be checked from time to time). The Privacy Policy will apply to the personal information actively provided by the User within the framework of the Website, in accordance with Biopet’s requirements (including with respect to inclusion in the database and direct mailing).
42. Any other information collected by Biopet and/or which came into its possession in relation to the User (which is not personal information actively entered by the User – which is subject to the Privacy Policy other than the information that is subject to the Privacy Policy or to a separate, explicit agreement between Biopet and the User), and any message, material or content posted or uploaded to this Website by email or otherwise, including data, questions, comments, suggestions, etc., will be considered non-confidential and not protected by any rights, will not be subject to privacy protection, and will be treated accordingly. Any content transmitted or uploaded to the Website becomes the property of Biopet, which may reproduce, publish, disclose, broadcast, and upload this information to the Website, or use it in any other form, for any purpose.
I. Intellectual Property
43. All copyrights and intellectual property on the Website and/or in its design and/or in the services provided within its framework and/or in software / applications / computer code / graphic files, etc. contained therein and/or in the trademarks contained therein and/or in its name and/or domain name and/or all other contents therein and everything it contains (hereinafter – the “Protected Material”) belong to Biopet alone (or to other third parties that have allowed Biopet to use them, such as business partners).
44. The Protected Material or any part thereof may not be copied, published, distributed, publicly displayed, transmitted, transmitted to a third party or the public, or made available to them, processed, modified, derivative works may not be created or made, sold or rented, whether independently or through in cooperation with a third party, by any means or method (including electronic, computerized, mechanical, optical, photographic or recording means, etc.) and/or the intellectual property rights of Biopet and/or the Website management and/or any third party whose intellectual property is displayed and/or appears on the Website may not be infringed, without obtaining the advance, written consent of Biopet and subject to the terms of the consent (if given).
45. It is clarified that the publication and/or inclusion of material on the Website and/or the User’s use of it does not grant the User any right whatsoever in the Protected Material (including any license, trademark, patent and any other proprietary right).
J. Limitation of Liability
46. Biopet does not bear any responsibility in respect of and/or in connection with the content of the Website and is not responsible for the correctness and/or accuracy and/or current relevance of any information and/or data and/or recommendation and/or suggestion contained therein, including information contained in Surfer Content and/or publications and/or external sources to which the Website contains a link, and any information and/or detail and/or data contained on the Website in any way and/or derived therefrom.
It is emphasized again that all the information and data appearing on the Website are general and are included in it for the convenience and benefit of the Users only. Such information is not tailored to a specific User and does not in any way constitute a recommendation regarding a particular case and/or a substitute for professional advice.
In addition, the Website may contain information that is inaccurate or out of date, and the User must check and verify the accuracy and relevance of the information before making any use thereof.
47. Biopet is not responsible for failure and/or malfunction and/or defect in operation and/or viewing and/or the use of the Website and/or the internet and/or communication services, and so forth.
Without derogating from the above and/or imposing any liability on Biopet, in the event of any malfunction, the User is invited to contact
Biopet by email to Biopetclub@biopet.co.il and report the malfunction.
48. In the event that it is proved that Biopet’s negligence prevented the User from using the Website, the compensation to which the User is entitled will be limited to the cost of the phone call and/or surfing cost incurred (if any) to make use of the Website and nothing more, unless Biopet decides otherwise at its sole discretion.
49. Without derogating from the provisions of these Regulations, it is clarified that in the event of any malfunction that may interfere with the proper conduct of the Website, Biopet will have full discretion to decide whether it wishes to cancel or change or perform any other action in connection with the Website.
50. Biopet is not responsible for damages caused to Users and/or third parties as a result of using and/or inability to use the Website, including due to software included in the Website or whose operation results from its use and/or the use of websites that have links to the Website (such as viruses) and/or any other damage caused in respect of and/or in connection with the Website and/or its use, even if there is negligence on the part of Biopet, or if it has been made aware of the possibility of such damage.
51. Viewing and use of the Website and its contents are at the sole responsibility of the Users, and the User agrees that he will not have any demand and/or argument and/or claim against Biopet and/or the management of the Website and/or anyone on their behalf in connection with the use of the Website and/or these Regulations.
52. The User undertakes to indemnify Biopet and/or anyone acting on its behalf for any damage, loss or expense caused thereto (including legal expenses) in respect of his breach of the Terms of Use and/or the law.
K. Applicable law and jurisdiction
53. The applicable law in connection with these Terms of Use and the use of the Website is Israeli law only (whether use of the Website is made in Israel or abroad).
54. The exclusive jurisdiction in connection with the Terms of Use and use of the Website is vested in the competent court in Tel Aviv-Jaffa only.
L. Miscellaneous
55. The text of these Regulations will be available at Biopet’s company offices, Kibbutz Ma’abarot 4023000 Israel, and will be published on the Website, and will be available for review on the Website and/or by writing to the company.
56. In the event of a conflict and/or inconsistency between the provisions of these Regulations and any publications regarding and/or in connection with the Website, the provisions of these Regulations will prevail.
M. Contact us
57. Biopet complies with the provisions of the law and respects the right of Users of the Website and others to privacy and good name. If you believe that a particular publication on the Website offends you for any reason, please contact us and we will try to address your request as soon as possible.
